Issuer (Licensor): MERPTEK ("Licensor", "we", "us")

Project: DESTIGER / DESTIGER PLANET / SAJUVERSE (the "Project")

1. Purpose

This NFT License (the "License") sets forth the terms and conditions governing use of content associated with the DESTIGER NFTs (the "NFTs"), including without limitation art, designs, illustrations, images, videos, and text (collectively, the "Artwork").

2. Definitions

"NFT" means a DESTIGER non-fungible token issued on the Ethereum blockchain.
"Holder" means any person or entity that, at a given time, holds an NFT in its wallet.
"Artwork" means all creative works linked to the NFT metadata (e.g., tokenURI, images, traits/attributes), including visual content, audio, and written materials.
"Commercial Use" means any use for commercial advantage or monetary compensation, including (without limitation) sale of products, advertising, monetization of content (e.g., YouTube/streaming), use within apps/web services, and production and sale of merchandise.

3. Ownership (Copyright) — Copyright Remains with the Licensor

Purchasing or holding an NFT does not transfer to the Holder any copyright (economic or moral rights) or any other intellectual property rights in the Artwork.
All copyrights and intellectual property rights in and to the Artwork are owned exclusively by the Licensor.
The Holder receives only the rights expressly granted under this License (a limited license to use the Artwork).

4. License Grant — Commercial Use Permitted

Subject to the Holder's continued ownership of the NFT, the Licensor grants the Holder the following license while the Holder owns the NFT:

Scope: A worldwide, royalty-free, non-exclusive license.
Permitted Uses: The right to use, copy, display, distribute (including publication/posting), modify (including creation of derivative works), and commercially exploit the Artwork.
No Media Restrictions: The Artwork may be used in any and all media or formats, online or offline, including digital, print, video, images, products, and similar media.
Use by Service Providers: The Holder may provide the Artwork to third-party contractors and service providers (e.g., manufacturers, designers, agencies) solely for the purpose of exercising the Holder's rights under this License, provided that such parties use the Artwork only on the Holder's behalf and do not acquire any independent rights in the Artwork.

5. Transfer — The License Follows the NFT

If the Holder sells, transfers, or otherwise disposes of the NFT, the Holder's license under this License terminates immediately.
The new owner of the NFT automatically receives the same license under the terms of this License.
The Holder may not sell, assign, sublicense, or otherwise transfer the Artwork license independently of the NFT (except as expressly permitted for service providers in Section 4.4).

6. Prohibited Uses (Important)

The Holder may not:

Illegal/Harmful Uses: Use the Artwork in connection with illegal activities, hate or violence advocacy, discrimination, child exploitation, infringement of others' rights, defamation, fraud, phishing, impersonation, or similar harmful purposes.
False "Official" Claims: Use the Artwork in a manner that misleads others into believing the Holder, the Holder's products/services, or any usage is "official" or endorsed by the Licensor or the Project.
Trademark/Brand Infringement: Use or attempt to register the trademarks or brand elements described in Section 7 without authorization.
Standalone Resale of the Artwork: Sell or distribute the Artwork file "as-is" or on a standalone basis (e.g., selling the original image file separately or charging for downloads). However, Commercial Use in the form of goods, content, or services that incorporate the Artwork is permitted under this License.
Confusing New NFT Collections: Create or launch another NFT collection using the Artwork (or substantially similar style/characters) in a way that is likely to cause confusion regarding affiliation with the Project.

7. Trademarks and Brand Assets Are Separate — No Brand Rights Granted

"DESTIGER", "SAJUVERSE", and all related logos, slogans, UI elements, and other brand identifiers (the "Brand Assets") are owned by the Licensor and are not included in this License.
The Holder may not register trademarks or configure domain names/social accounts in a manner that suggests official affiliation with the Licensor or the Project.
Factual statements (e.g., "I own a DESTIGER NFT") are permitted.

8. Termination

If the Holder no longer owns the NFT, this License automatically terminates.
If the Holder violates any prohibited uses under this License, the Licensor may request that the violation be cured. If not cured, the Licensor may revoke/terminate this License.
Upon termination, the Holder must cease using the Artwork and, to the extent reasonably possible, remove the Artwork from posts, listings, and sold/offered materials.

9. Disclaimers and Limitation of Liability

The Artwork and NFTs are provided "AS IS" without warranties, including without limitation fitness for a particular purpose, non-infringement, and uninterrupted availability.
The Licensor is not responsible for damages arising from events outside the Licensor's control, including blockchain network issues, wallet loss, hacks, or marketplace policy changes.
Where liability is established, the Licensor's liability shall be limited to the maximum extent permitted by applicable law.

10. Third-Party Platforms (e.g., OpenSea)

Even if NFTs are issued and traded on third-party platforms such as OpenSea, such platforms are not parties to this License. This License applies only between the Licensor (issuer) and the Holder.

11. Changes to This License

The Licensor may modify this License as necessary. Any changes will be announced via the Project's website/community notice channels. If a change materially and adversely affects the rights of existing NFT Holders, the Licensor will provide reasonable additional notice.

12. Governing Law and Jurisdiction

1) General Rule (Governing Law / Venue)

This License shall be governed by the laws of the Republic of Korea. Any dispute between the Licensor (issuer) and the user/Holder arising out of or relating to this License, the NFT, or the related services shall be subject to the exclusive jurisdiction of the Seoul Central District Court.

2) Consumer Protection Carve-out (Mandatory Rules Prevail)

However, where the laws of the country/region in which the user resides include mandatory consumer protection provisions (including mandatory rules on governing law and/or jurisdiction), this Section shall apply only to the extent permitted by such mandatory provisions, and the user retains any rights available under those laws.

3) Notice for EEA / UK Consumers (If Applicable)

If the user is a consumer residing in the European Economic Area (EEA) or the United Kingdom (UK), applicable laws may allow the user, to the extent permitted, to bring claims before the courts of the user's country of residence.

13. Summary (For Convenience Only)

Copyright remains with the Licensor.
Holders receive a license permitting Commercial Use while they own the NFT.
When an NFT is transferred, the prior Holder's license ends and the new Holder's license begins.
Trademarks/brand rights are not included.

1. Objeto

Esta licencia NFT (la "Licencia") fija los términos y las condiciones que rigen el uso del contenido asociado a los NFT de DESTIGER (los "NFT"), incluidos, entre otros, el arte, los diseños, las ilustraciones, las imágenes, los videos y los textos (en conjunto, la "Obra").

2. Definiciones

"NFT" es un token no fungible de DESTIGER emitido en la blockchain de Ethereum.
"Titular" es toda persona o entidad que, en un momento dado, tiene un NFT en su billetera.
"Obra" comprende todas las creaciones vinculadas a los metadatos del NFT (por ejemplo, tokenURI, imágenes, rasgos o atributos), incluidos el contenido visual, el audio y los textos.
"Uso comercial" es cualquier uso con fines de lucro o a cambio de una contraprestación económica, incluidos (entre otros) la venta de productos, la publicidad, la monetización de contenido (por ejemplo, YouTube o streaming), el uso dentro de aplicaciones y servicios web, y la producción y venta de artículos de marca.

3. Titularidad (derechos de autor) — los derechos de autor siguen siendo del Licenciante

Comprar o tener un NFT no transfiere al Titular ningún derecho de autor (ni patrimonial ni moral) ni ningún otro derecho de propiedad intelectual sobre la Obra.
Todos los derechos de autor y los derechos de propiedad intelectual sobre la Obra pertenecen en exclusiva al Licenciante.
El Titular solo recibe los derechos que esta Licencia le concede de forma expresa (una licencia limitada de uso de la Obra).

4. Concesión de la licencia — uso comercial permitido

Mientras el Titular conserve la propiedad del NFT, el Licenciante le concede la siguiente licencia:

Alcance: una licencia mundial, libre de regalías y no exclusiva.
Usos permitidos: el derecho a usar, copiar, exhibir, distribuir (incluida la publicación), modificar (incluida la creación de obras derivadas) y explotar comercialmente la Obra.
Sin restricción de medios: la Obra puede usarse en cualquier medio o formato, en línea o fuera de línea, incluidos el digital, el impreso, el video, las imágenes, los productos y otros medios similares.
Uso por parte de proveedores de servicios: el Titular puede entregar la Obra a contratistas y proveedores externos (por ejemplo, fabricantes, diseñadores o agencias) con el único fin de ejercer los derechos que esta Licencia le concede, siempre que esos terceros usen la Obra solo por cuenta del Titular y no adquieran ningún derecho propio sobre ella.

5. Transferencia — la licencia acompaña al NFT

Si el Titular vende, transfiere o dispone del NFT de cualquier otra forma, su licencia en virtud de esta Licencia termina de inmediato.
Quien pase a ser propietario del NFT recibe automáticamente la misma licencia en los términos de esta Licencia.
El Titular no puede vender, ceder, sublicenciar ni transferir de ningún otro modo la licencia sobre la Obra al margen del NFT (salvo lo que se permite de forma expresa para los proveedores de servicios en el apartado 4.4).

6. Usos prohibidos (importante)

El Titular no puede:

Usos ilegales o dañinos: usar la Obra en relación con actividades ilegales, apología del odio o de la violencia, discriminación, explotación infantil, vulneración de derechos ajenos, difamación, fraude, phishing, suplantación de identidad u otros fines dañinos parecidos.
Falsas afirmaciones de carácter "oficial": usar la Obra de forma que haga creer a otras personas que el Titular, sus productos o servicios, o cualquier uso, son "oficiales" o cuentan con el respaldo del Licenciante o del Proyecto.
Infracción de marcas o de elementos de marca: usar o intentar registrar sin autorización las marcas o los elementos de marca descritos en el apartado 7.
Reventa de la Obra por separado: vender o distribuir el archivo de la Obra "tal cual" o de forma independiente (por ejemplo, vender el archivo de imagen original por separado o cobrar por su descarga). Sin embargo, esta Licencia sí permite el Uso comercial en forma de productos, contenidos o servicios que incorporen la Obra.
Nuevas colecciones de NFT que generen confusión: crear o lanzar otra colección de NFT con la Obra (o con un estilo o unos personajes muy parecidos) de una manera que pueda causar confusión sobre su vinculación con el Proyecto.

7. Las marcas y los activos de marca son independientes — no se conceden derechos sobre la marca

"DESTIGER", "SAJUVERSE" y todos los logos, eslóganes, elementos de interfaz y demás signos distintivos relacionados (los "Activos de marca") pertenecen al Licenciante y no están incluidos en esta Licencia.
El Titular no puede registrar marcas ni configurar nombres de dominio o cuentas de redes sociales de modo que sugieran una vinculación oficial con el Licenciante o con el Proyecto.
Sí se permiten las afirmaciones de hecho (por ejemplo, "Tengo un NFT de DESTIGER").

8. Terminación

Si el Titular deja de ser propietario del NFT, esta Licencia termina de forma automática.
Si el Titular incurre en alguno de los usos prohibidos de esta Licencia, el Licenciante puede exigirle que subsane el incumplimiento. Si no lo subsana, el Licenciante puede revocar o dar por terminada esta Licencia.
Al terminar la Licencia, el Titular debe dejar de usar la Obra y, en la medida en que sea razonablemente posible, retirarla de sus publicaciones, anuncios y materiales vendidos u ofrecidos.

9. Exención de garantías y limitación de responsabilidad

La Obra y los NFT se entregan "TAL CUAL", sin garantías, incluidas, entre otras, las de idoneidad para un fin concreto, ausencia de infracción y disponibilidad ininterrumpida.
El Licenciante no responde por los daños que surjan de hechos fuera de su control, como los fallos de la red blockchain, la pérdida de la billetera, los ataques informáticos o los cambios en las políticas de las plataformas de compraventa.
Cuando se determine que existe responsabilidad, la del Licenciante quedará limitada al máximo que permita la ley aplicable.

10. Plataformas de terceros (por ejemplo, OpenSea)

Aunque los NFT se emitan y se negocien en plataformas de terceros como OpenSea, esas plataformas no son parte de esta Licencia. Esta Licencia rige únicamente entre el Licenciante (emisor) y el Titular.

11. Cambios en esta Licencia

El Licenciante puede modificar esta Licencia cuando sea necesario. Cualquier cambio se anunciará en el sitio web del Proyecto o en sus canales de aviso a la comunidad. Si un cambio afecta de forma significativa y desfavorable los derechos de quienes ya tienen un NFT, el Licenciante avisará además por un medio razonable.

12. Ley aplicable y jurisdicción

1) Regla general (ley aplicable / foro)

Esta Licencia se rige por las leyes de la República de Corea. Cualquier disputa entre el Licenciante (emisor) y el usuario o Titular que surja de esta Licencia, del NFT o de los servicios relacionados, o que guarde relación con ellos, queda sometida a la jurisdicción exclusiva del Tribunal del Distrito Central de Seúl.

2) Excepción de protección al consumidor (prevalecen las normas imperativas)

Sin embargo, cuando las leyes del país o la región donde reside el usuario incluyan normas imperativas de protección al consumidor (incluidas las reglas imperativas sobre ley aplicable o jurisdicción), este apartado se aplicará solo en la medida en que esas normas lo permitan, y el usuario conservará los derechos que ellas le reconozcan.

3) Aviso para consumidores del EEE y del Reino Unido (UK) (si corresponde)

Si el usuario es un consumidor que reside en el Espacio Económico Europeo (EEE) o en el Reino Unido (UK), la ley aplicable puede reconocerle, dentro de lo que permita, el derecho a reclamar ante los tribunales de su país de residencia.

13. Resumen (solo a modo de referencia)

Los derechos de autor siguen siendo del Licenciante.
Quien tiene un NFT recibe una licencia que permite el Uso comercial mientras lo conserve.
Cuando se transfiere un NFT, la licencia del Titular anterior termina y empieza la del nuevo Titular.
Las marcas y los derechos sobre la marca no están incluidos.
